Terms of Use

1. Acceptance of Terms

By downloading, installing, or using ModBus Pro (“the Software”), you agree to be bound by these Terms of Use. If you do not agree to these terms, do not use the Software.

These terms constitute a legally binding agreement between you (“the User”) and the developer of ModBus Pro (“we”, “us”, or “our”).

2. License Grant

Upon purchase, we grant you a single-user, perpetual, non-exclusive, non-transferable license to use the Software, subject to the following conditions:

• The license permits activation on one (1) machine at a time.
• You may deactivate your license on one machine and reactivate it on a different machine.
• The license is non-transferable and may not be resold, sublicensed, or otherwise distributed to any third party.
• The license is granted to you personally and may not be shared with other individuals or organisations.

3. Payment & Refunds

The Software is available for a one-time payment of $199. All payments are processed securely by Stripe (Stripe, Inc.), our payment processor. We do not store or handle your payment details directly.

We offer a 14-day refund policy from the date of purchase, provided that:

• No license activations have been used.
• You contact us at support@modbus.app to request the refund within the 14-day window.

Once a license has been activated, refunds are provided at our sole discretion.

4. Intellectual Property

The Software, including all source code, binaries, design, documentation, and website content, is the intellectual property of the developer and is protected by applicable copyright laws.

Modbus® is a registered trademark of Schneider Electric. ModBus Pro is not affiliated with, endorsed by, or sponsored by Schneider Electric or the Modbus Organization. Any use of the Modbus name is purely descriptive and refers to the communication protocol.

5. Limitation of Liability

The Software is provided “as is”, without warranty of any kind, express or implied, including but not limited to the warranties of merchantability, fitness for a particular purpose, and non-infringement.

In no event shall the developer be liable for any direct, indirect, incidental, special, consequential, or exemplary damages arising out of or in connection with the use of the Software, including but not limited to:

• Damage to industrial equipment, machinery, or control systems.
• Loss of data, revenue, or business opportunities.
• Incorrect Modbus communication results or misinterpretation of data.

The User is solely responsible for independently verifying all Modbus communications and ensuring the Software is suitable for their intended use. The Software is a diagnostic tool and should not be used as the sole basis for critical decisions affecting safety or equipment operation.

6. Usage Restrictions

You agree not to:

• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software.
• Redistribute, share, or make the Software available to any third party, whether for commercial or non-commercial purposes.
• Use a single license key across multiple machines simultaneously.
• Remove, alter, or obscure any proprietary notices, labels, or marks on the Software.
• Use the Software for any unlawful purpose or in any manner that violates these terms.

7. Termination

We reserve the right to terminate your license if you violate any of these terms. Upon termination:

• Your right to use the Software ceases immediately.
• No refund will be issued for licenses terminated due to a breach of these terms.
• You must uninstall and destroy all copies of the Software in your possession.

8. Updates

Your license includes free updates for the current major version of the Software at the time of purchase.

We are under no obligation to provide updates, new features, or bug fixes. Any updates that are provided will be subject to these Terms of Use.

We may update these Terms of Use from time to time. Changes will be posted on this page with an updated revision date. Continued use of the Software after changes are posted constitutes your acceptance of the revised terms.

9. Governing Law

These Terms of Use shall be governed by and construed in accordance with the laws of the United Kingdom, without regard to its conflict of law principles.

Any disputes arising from or relating to these terms or the use of the Software shall be subject to the exclusive jurisdiction of the courts of the United Kingdom.
